PROMPT PLUS TERMS AND CONDITIONS

These Prompt Plus Terms and Conditions govern Customer’s use of Prompt’s Prompt Plus offering (“Prompt Plus”) and are incorporated into and made a part of the Agreement if Prompt Plus is included in the Order Form or if Customer activates Prompt Plus within the Platform. All terms and conditions of the Agreement apply except to the extent expressly modified herein.

  1. 1. Definitions

    1. 1.1. “Plus Tier 1 Providers” means any Provider who is not a Therapist Assistant who conducts eighty (80) or more Visits per month.

    2. 1.2. “Plus Tier 2 Providers” means: (a) any Therapist Assistant who conducts thirty-five (35) or more Visits per month; or (b) any other Provider who conducts between thirty-five (35) and seventy-nine (79) Visits per month.

    3. 1.3. “Plus Tier 3 Providers” means any Provider who conducts thirty-four (34) or fewer Visits per month.

  2. 2. Term.  Beginning on the Go-Live Date, Customer shall receive access to Prompt Plus on a trial basis for the time period set forth in the Order Form (the “Prompt Plus Trial Period”), unless the Agreement or Customer’s access to Prompt Plus are earlier terminated. During the Prompt Plus Trial Period, Customer shall receive full access to Prompt Plus at no additional charge. After the applicable Trial Period, Customer’s subscription to Prompt Plus will automatically renew for the fees and under the terms set forth in the Agreement unless cancelled in accordance with the notice requirements set forth in Section 3 below.

  3. 3. Termination During Trial Period; Continuation of Access. Customer must provide at least fifteen (15) days’ written notice (email shall suffice) to Prompt prior to the end of the Prompt Plus Trial Period if Customer wishes to cancel Prompt Plus at the end of the Prompt Plus Trial Period. If Customer does not cancel its trial access to Prompt Plus in accordance with this Section, or if Customer or any End User otherwise utilizes Prompt Plus in any manner after the expiration of the Prompt Plus Trial Period (regardless of whether Customer provided notice of cancellation hereunder), Customer’s access to Prompt Plus shall continue and Customer shall pay Prompt the applicable Prompt Plus fees set forth in the Order Form or otherwise through the Platform. 

  4. 4. Prompt Student Placement Initiative.  Customer’s subscription to Prompt Plus includes the ability for Customer to participate in the Prompt Student Placement Initiative. Termination of Prompt Plus will result in Customer’s removal from participation in the Prompt Student Placement Initiative.
