PROMPT SIDEKICK TERMS AND CONDITIONS

These Prompt Sidekick Terms and Conditions govern Institution’s use of the Prompt Sidekick offering (“Prompt Sidekick”) and are incorporated into and made a part of the Agreement if Prompt Sidekick is included in the Order Form or otherwise activated through another written agreement by the parties (whether through the Platform or otherwise). All terms and conditions of the Agreement apply except to the extent expressly modified herein.

  1. 1. Implementation.  In order to implement Prompt Sidekick, Institution must first fulfill the obligations in this Section 1.

    1. 1.1. Institution’s Site Administrator must enable "Integrations" within the Prompt Platform under Company > Settings.

    2. 1.2. Institution must either: (a) grant proper permissions for a Prompt Support Specialist to enter the required API keys into Institution’s account on Institution’s behalf; or (b) request a secure link from Prompt in order for Institution to be able to enter the required API keys into Institution’s account on its own behalf.

    3. 1.3. Institution must provide to Prompt the email address of each Prompt Sidekick End User so that Prompt may activate each Prompt Sidekick End User’s account.

  2. 2. End Users. Institution will comply with the obligations in this Section 2 in relation to each Prompt Sidekick End User. 

    1. 2.1. Institution must authorize and activate each Prompt Sidekick End User on an individual basis. 

    2. 2.2. Each Prompt Sidekick End User must be: (a) an active student or faculty member of the Institution, and (b) officially enrolled in, or employed by, the Institution. 

    3. 2.3. Prompt Sidekick End Users are assigned login credentials on an individual, per-user basis. Prompt Sidekick End User’s login credentials may not be shared with, or used by, anyone other than the applicable Prompt Sidekick End User. 

    4. 2.4. Institution will promptly (but in no later than thirty (30) calendar days) deactivate each Prompt Sidekick End User once the applicable Prompt Sidekick End User is no longer authorized to use Prompt Sidekick or will otherwise no longer be allowed to access Prompt Sidekick.

  3. 3. Use Limitations. Institution agrees to the terms in this Section 3 related to certain limitations and use requirements related to Prompt Sidekick. 

    1. 3.1. Each Prompt Sidekick End User is allowed to consume up to twenty (20) recorded hours of Sidekick AI in each calendar year (the “Annual Limit”). 

    2. 3.2. Prompt may monitor Institution’s and any Prompt Sidekick End User’s access to, and use of, Prompt Sidekick. 

    3. 3.3. If any Prompt Sidekick End User is using Prompt Sidekick in excess of the Annual Limit, Prompt and Institution may discuss the option for Institution to agree to pay Prompt for any End User’s use of Prompt Sidekick in excess of the Annual Limit. Institution will not be charged any such fees unless and until the parties enter into an amendment to the Agreement.

  4. 4. Right to Modify, Limit, Suspend, or Discontinue. Prompt reserves the right to modify, limit, suspend, or discontinue Institution’s, or any Prompt Sidekick End User’s, access to, and use of, Prompt Sidekick, in its sole discretion.

  5. 5. Acknowledgement.  Prompt Sidekick is a tool that is intended to help Institution’s practice run more efficiently by automating certain tasks and assisting with compliance and other decisions. However, Institution acknowledges and agrees that Prompt Sidekick is not a compliance decision-making tool, and Prompt Sidekick should not be used without qualified and appropriate review by Institution for compliance with applicable laws and third party payor requirements, including without limitation with regard to coding and billing.
