PROMPT BUSINESS INTELLIGENCE TERMS AND CONDITIONS
These Prompt BI Terms and Conditions govern Customer’s use of Prompt’s business intelligence offering (“Prompt BI”) and are incorporated into and made a part of the Agreement if Prompt BI is included in the Order Form or otherwise agreed to in writing by the parties. All terms and conditions of the Agreement apply except to the extent expressly modified herein.
- Details of Services Included in Prompt BI:
- Subscribers shall receive:
- Access to Prompt BI;
- One, 30-minute kick off meeting* within a reasonable period following the Go-Live Date;
- One, 60-minute follow-up meeting* within the first month following the Go-Live Date to assist Customer with Prompt BI dashboard customization;
- Reasonable email support during Prompt’s then-current business hours with a 5-10 business day turnaround time; and
- Access to Prompt BI training webinars that Prompt makes generally available to Prompt BI customers from time to time.
- Amazon S3** subscribers shall receive access to Amazon S3 bucket storage for extraction of Data Sets.
- Subscribers shall receive:
* Meetings may be by video or telephone conference, as determined by Prompt in coordination with Customer.

- Support. Section 2.2 (Implementation Services) and Section 6 (Support and Maintenance) of the General Terms and Conditions shall apply to Prompt BI. Notwithstanding the foregoing, Customer and End Users are not entitled to any live support or the ability to intake and process third-party data through Prompt BI.
- Data Sets. Prompt BI may provide Customer the ability to download Customer Data, Aggregated Data, and other data generated from Prompt BI (such data, “Data Sets”) as well as the ability to create automated reports through Metabase subscriptions (“Subscriptions”). Prompt disclaims and Customer assumes all liability for any risk or damages that directly or indirectly arise from Customer’s use of the Subscriptions. Once downloaded, Customer assumes responsibility for its use of such Data Sets, provided that Prompt represents that it has the right to provide such Data Sets to Customer. Prompt shall ensure that the Data Sets are provided in accordance with applicable laws and regulations. Without limitation to, and in addition to, Customer’s indemnity obligations pursuant to Section 12 (Indemnification) of the General Terms and Conditions, Customer will defend and indemnify Prompt and hold it harmless from any and all claims, losses, deficiencies, damages, liabilities, costs, and expenses (including, but not limited to, reasonable attorneys’ fees) incurred by Prompt relating to or resulting or arising from: (a) the inclusion of PHI, as such term is defined in the BAA, in any report generated using the Subscriptions; and (b) Customer’s use of the Data Sets.
- Amazon S3 Disclaimer. Customer acknowledges that Amazon S3 is a Third-Party Service and that Amazon Web Services, Inc. or its affiliates (“AWS”), and not Prompt, hosts and provides such service. Prompt offers access to Amazon S3 solely as a convenience in connection with Prompt BI and only to the extent provided for herein. Customer’s access to and use of Amazon S3 may be subject to additional terms and conditions provided by AWS. Customer is solely responsible for complying with all AWS terms and conditions provided to it in writing or to which it otherwise agrees in connection with its access to and use of Amazon S3.
